Anthropic Founders Seek Voting Control Before IPO
Anthropic's founders are asking shareholders to approve a dual-class share structure giving CEO Dario Amodei and six co-founders combined voting control of 50.1% on most corporate matters. The move mirrors strategies used by Mark Zuckerberg at Meta and Evan Spiegel at Snap, though the group approach is unusual.
Notably, each founder owns just 2% of the company and has pledged to give away 80% of their wealth. The new shares carry no extra economic value. Anthropic's Long-Term Benefit Trust would still select most board members, and employees would receive shares to break ties. The company was recently valued at $1.5 trillion on secondary markets.
